1. About Royalty
Royalty provides loyalty technology, customer engagement tools, analytics, AI-powered insights, campaign functionality and related implementation, management and maintenance services primarily to restaurants and hospitality businesses.
2. Business Use
Royalty is offered as a business-to-business service. Restaurant owners, companies, entrepreneurs and other business users entering into an agreement with Royalty are referred to as the “Client”. The Services are intended for professional and business use.
3. Agreement With Royalty
Paid Services may be subject to a separate Service Agreement, Order Form, proposal or other written commercial agreement specifying participating Locations, implementation scope, setup fee, monthly fee, selected functionality, payment terms and commencement date. If a specifically negotiated and signed Service Agreement conflicts with these Terms, that agreement prevails for the matter it specifically addresses.
4. Restaurant Locations
An agreement may cover one or multiple restaurant locations. Each physical restaurant premises using Royalty may be treated as a separate “Location”. The number of Locations and applicable fees are specified in the Client’s commercial agreement. Additional Locations may require an additional fee and may be documented by amendment or additional Order Form without replacing the entire agreement.
Where technically supported and agreed, loyalty functionality may operate across multiple Locations belonging to the same restaurant business or group.
5. Implementation
Royalty may provide configuration, branding, loyalty-program setup, QR implementation, system configuration, dashboard setup, testing, staff guidance and other agreed onboarding activities. Timelines depend on the Client providing required materials, information, approvals and access. Delays outside Royalty’s reasonable control may extend implementation.
6. Setup and Implementation Fees
The one-time implementation or setup fee is determined individually based on requirements, number of Locations, complexity and agreed scope. Unless otherwise expressly agreed in writing, the implementation/setup fee becomes non-refundable once Royalty has commenced implementation work. Royalty may voluntarily agree to a different commercial resolution in an individual case.
7. Monthly Service
Unless otherwise agreed in writing, Royalty operates month-to-month without a long-term minimum commitment. Monthly services may include system operation, management, maintenance, support, analytics, campaign functionality and AI-powered functionality. The exact fee is specified in the Client’s commercial agreement.
8. Invoicing and Payment
Royalty issues invoices for applicable Services. Fees, currency, payment deadlines and other payment conditions are specified on the invoice or applicable commercial agreement. Royalty may suspend paid Services where invoices remain materially overdue after reasonable notice.
9. Cancellation
Unless otherwise agreed in writing, either party may terminate the monthly Service by providing 30 days’ written notice. The Client remains responsible for applicable fees through the effective termination date.
10. Client Responsibilities
The Client is responsible for providing accurate information and authorised materials, determining its loyalty-program rules, ensuring offers and promotions comply with applicable requirements, appropriately informing customers, maintaining a lawful basis for customer-data processing where it acts as controller, and using Royalty lawfully.
11. Rewards, Discounts and Promotions
The Client is responsible for the commercial and financial cost of rewards, discounts, products, services, coupons and promotions it approves or makes available through its loyalty program, and for honouring valid offers it has authorised. Royalty provides the technology and management functionality and is not the seller or provider of the restaurant’s food, beverages or hospitality services.
12. Customer Data
Customer and loyalty-program data remains subject to applicable law and the agreement between Royalty and the Client. Where Royalty processes personal data on behalf of a Client, the parties may enter into a separate Data Processing Agreement. Royalty does not acquire ownership of a Client’s identifiable customer database merely because it is processed through Royalty.
13. Data Export
Following a reasonable authorised request, Royalty may provide an export of available Client customer and loyalty data in a reasonably available standard format.
14. Data Following Termination
Following termination, personal data will be handled according to applicable law, the Privacy Policy and any applicable Data Processing Agreement. Identifiable or pseudonymised customer data may be returned, exported, deleted or retained for a limited period where required by agreement, legitimate technical requirements or law.
Royalty may retain aggregated or properly anonymised statistical information that no longer identifies individual customers for service analysis, performance measurement, product development, statistical analysis, security and improvement of Royalty technology.
15. AI-Powered Functionality
Royalty may use artificial intelligence for insights, recommendations and campaign assistance. Only information reasonably necessary for the relevant operation is intended to be provided to the AI service. Customer behavioural information may be associated with an internal customer identifier; direct identifying information such as customer name and email is not provided to the AI service for these operations.
AI-generated information assists the Client and does not guarantee increased revenue, retention, campaign performance or other business outcomes. The Client remains responsible for business decisions.
16. Third-Party Technology
Royalty relies on third-party infrastructure, which may include hosting, databases, email delivery and AI APIs. Royalty currently uses Bubble as part of its application infrastructure and the OpenAI API for selected AI functionality. Providers may be changed or added where reasonably necessary, subject to applicable obligations.
17. Service Availability
Royalty uses commercially reasonable efforts to maintain availability and functionality but does not guarantee uninterrupted, error-free service or a specific uptime percentage unless expressly agreed in writing. Maintenance, third-party failures, internet failures, security incidents and circumstances outside Royalty’s reasonable control may affect availability.
18. Changes and Maintenance
Royalty may update and improve functionality, interfaces, infrastructure, AI providers and security measures over time. Royalty will seek to avoid changes that materially and unnecessarily reduce the core functionality purchased by an active Client.
19. Intellectual Property
Royalty and its licensors retain rights in the platform, technology, software, designs, systems, documentation and proprietary materials. The Client retains rights in its own trademarks, logos, photographs, menus and business materials and grants Royalty a limited right to use them as reasonably necessary to provide the Services.
20. Confidentiality
Royalty and the Client should treat non-public business, technical and commercial information received through their relationship as confidential and use it only as reasonably necessary to perform the agreed Services or where disclosure is required by law.
21. Security
Royalty uses reasonable technical and organisational measures intended to protect the Service and processed personal data. Clients are responsible for protecting account credentials and restricting dashboard access to authorised personnel.
22. No Guarantee of Business Results
Royalty is designed to support loyalty, repeat visits, engagement and customer understanding, but does not guarantee a specific increase in revenue, returning customers, campaign conversion, retention rate or other commercial result.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Royalty will not be liable for indirect, incidental or consequential business losses arising from use of the Service, including lost profits or opportunities or losses resulting from circumstances outside Royalty’s reasonable control. Nothing excludes liability where exclusion is prohibited by mandatory law. Specific limitations may be further defined in the Client’s Service Agreement.
24. Suspension
Royalty may temporarily suspend all or part of the Service where reasonably necessary because of material non-payment, security concerns, unlawful or abusive use, material breach, risk to systems or other Clients, or legal requirements. Where reasonably possible, notice and an opportunity to remedy will be provided.
25. Changes to These Terms
Royalty may update these Terms to reflect changes to the Service, business model, technology or applicable law. The latest version will be published here with its update date. Material changes affecting existing paid Clients will be communicated where reasonably appropriate.
26. Governing Law and Disputes
These Terms and the contractual relationship between Royalty and the Client are governed by the laws of the Republic of Serbia, unless otherwise expressly agreed in writing or mandatory law requires otherwise. The parties should first seek an amicable resolution. Unresolved disputes will be submitted to the competent court in the Republic of Serbia, subject to applicable jurisdiction rules.
